Misconduct Reporting System and Channels

Shian Yih upholds a corporate philosophy rooted in integrity and honesty. All employees are committed to this principle and pledge that under no circumstances will bribery, corruption, or any form of fraudulent or improper behavior be tolerated in the course of business operations.

The company has established internal control procedures, including the “Ethical Business Operations Procedures and Code of Conduct” and the “Whistleblower Policy and Management Guidelines,” clearly outlining the methods for reporting misconduct and the procedures for handling such reports.

If clients, suppliers, or any related parties discover or suspect that any employee or representative of Hsun-Yi is engaging in dishonest behavior or potential violations, we encourage immediate reporting via the contact address listed below. Hsun-Yi will assign a case number, document the report, and process it as a special case. The whistleblower policy is as follows:

1. Reporting Channels

Both internal and external parties may file a report by completing the Whistleblower Complaint Record Form and submitting it via email. Internal personnel may also directly contact the Audit Office to initiate a case for investigation.

2. Whistleblower Incentives

To encourage the reporting of dishonest behavior, Hsun-Yi may offer rewards based on the severity and validity of the report submitted by internal or external individuals.

3. Handling Procedures and Responsible Department

The Audit Office is responsible for handling whistleblower cases. Whistleblowers will receive acknowledgment of receipt within five business days, and an investigation will be initiated.

If the report involves directors or senior executives, the matter will be submitted to the Audit Committee for review.
The Audit Office will conduct a thorough investigation as soon as possible, with legal support from the Legal Department if necessary. Investigations are to be concluded within one month, extendable by an additional month if needed. The whistleblower will be informed of the results upon completion.

If the accused is confirmed to have violated relevant laws or the company’s code of conduct, appropriate actions will be taken according to legal and internal disciplinary procedures, including pursuing legal responsibility if applicable.

4. Protection Mechanism

To protect whistleblowers, the company ensures confidentiality of both the whistleblower’s identity and the report content. Unless otherwise required by law, no disclosure will be made without the whistleblower’s consent.

All personnel involved in handling the case must sign a Confidentiality Agreement to protect whistleblowers and any employees who refuse to participate in dishonest practices.

The company strictly prohibits any form of retaliation. Supervisors and internal personnel are forbidden from retaliating against anyone who reports or assists in the investigation of unethical behavior. Any act of retaliation will be subject to disciplinary action, including dismissal for serious cases.

The identities of the whistleblower, the accused, and all personnel involved in the process must remain confidential to prevent unfair treatment, retaliation, or threats.
